The Antino Gold District

The Antino Gold District is Founders Metals’ flagship project and a district-scale gold exploration opportunity located in southeastern Suriname, within the Guiana Shield — a region of highly prospective geology for gold mineralization analogous to West Africa’s established gold districts.

Founders controls a 102,360-hectare contiguous land package encompassing the Antino Gold District, which has a long history of artisanal and small-scale gold production. Historical surface and alluvial mining within the district has produced in excess of 500,000 ounces of gold¹, highlighting the presence of a robust mineralizing system. Today, Founders is advancing Antino through a systematic, data-driven exploration strategy focused on expanding known mineralized zones and evaluating multiple priority targets across the broader district.

The Antino Gold District is Founders Metals’ flagship gold exploration asset, located in southeastern Suriname within the Guiana Shield, a globally significant greenstone belt recognized for hosting large, long-lived orogenic gold systems.

The district lies approximately 275 kilometres southeast of Paramaribo, Suriname’s capital, and benefits from year-round access via a private airstrip at the Antino camp and by barge along the Lawa River, providing reliable logistics to support ongoing exploration programs.

Founders controls a 102,360-hectare contiguous land package encompassing the Antino Gold District, consolidating an extensive section of prospective greenstone belt geology. Historical surface and alluvial mining across the district has produced in excess of 500,000 ounces of gold¹, demonstrating the presence of a robust mineralizing system.

Upper Antino

Advanced Target

Upper Antino represents the most advanced and intensively drilled target within the Antino Gold District and continues to serve as a key anchor for Founders Metals’ exploration efforts. The prospect has demonstrated consistent growth through step-out drilling to the east and along strike with a current mineralized footprint spanning ~2,600 m along strike, ~750 m wide, and ~600 m vertical depth.

Key drilling intercepts include:

  • 15.5 m of 30.72 g/t Au
  • 46.0 m of 5.31 g/t Au
  • 19.0 m of 14.23 g/t Au

Founders has identified three major opportunities for growth: connecting the dots between Froyo and Donut, doubling the depth with deeper drilling, and extending north and south along strike.

Lower Antino

Lower Antino

Advanced Target

Lower Antino continues to demonstrate scale and consistent grade, reinforcing its emergence as a significant gold target and potential companion to Upper Antino's shear-hosted vein mineralization. Gold mineralization occurs over multiple 15-90+ metre wide, sub-parallel gold zones along the 1,900 m strike with opportunity to grow. Recent drilling has intersected high-grade with up to 28.44 g/t Au in a single drill intercept.

Drilling highlights to date at Lower Antino include:

  • 90.0 m of 1.02 g/t Au
  • 81.9 m of 1.00 g/t Au
  • 50.0 m of 1.02 g/t Au

Lower Antino remains a high-priority target for continued investment and advancement.

Buese

Buese

Intermediate Target

Buese represents a high-priority, bulk-tonnage exploration target situated approximately 6 km southeast of Upper Antino. Gold mineralization occurs over broad intervals of moderate grade within and on the margins of intrusion hosted orogenic gold mineralization. 

Drilling highlights at Buese to date include:

  • 78.0 m of 2.35 g/t Au, including 20.0 m of 7.65 g/t Au
  • 21.6 m of 2.38 a/t Au
  • 112.0 m of 0.55 g/t Au

The Company’s current drilling plans at Buese is to better delineate high-grade zones and expand potential footprint.

Da Vinci

Da Vinci

Emerging Target

Da Vinci was discovered by Founders in December 2024 and is 10 km from Upper Antino along the same shear structure with seven of the first eight holes all having wide intersections of gold mineralization. Da Vinci occurs in mixed sequence of metasedimentary rocks with growing scale. Drilling has confirmed from surface gold mineralization over 150 m of strike and ~250 m true depth.

Drilling highlights to date at Da Vinci include:

  • 36.0 m of 2.21g/t Au
  • 67.0 m of 1.26 g/t Au
  • 28.5 m of 1.30 g/t Au
  • 25.0 m of 1.01 g/t Au

Follow-up drilling will further test mineralization along-strike and to the NE and SW for additional repeating structures and gold zones.

Maria Geralda

Maria Geralda

Emerging Target

Maria Geralda was discovered in June 2025 and is an emerging, drill-confirmed gold target situated approximately ~8 km southeast of Upper Antino. The drilling follows up on a systematic surface exploration program, including prospecting, mapping and augering programs that identified a 500 m by 400 m gold anomaly at surface where 54% of samples returned assays above 0.1 g/t Au. The third drill hole at Maria Geralda intersected 22.5 m of 11.88 g/t Au, the highest-grade interval outside of Upper Antino to date!

Founders plans to follow-up on the initial drill program in 2025 and believe there is significant expansion potential along strike and to depth.

Van Gogh

Van Gogh

Emerging Target

Van Gogh is located ~12 km southeast of Upper Antino and was initially discovered in January 2025 with a high-grade channel sample intersecting 17.8 m of 5.68 g/t Au. Follow-up drilling confirmed the high-grade gold mineralization with 28.5 m of 7.12 g/t Au and 72.0 m of 2.29 g/t Au within the first six drill holes on the property.

Gold mineralization at Van Gogh occurs within a ~30 m wide mylonite zone with up to 5 m intervals of strongly silicified country rock and quartz. The gold-rich intervals locally contain up to 15% sulphide (pyrite) and the highest-grade intervals are often associated with brecciation.

Founders intends to complete additional surface work first before continuing to drill. Given the scale and very high-grade nature of the initial Van Gogh results, the Company intends to return to Van Gogh to complete up to 3,500 m of drilling in 2025.

Parbo

Parbo

Emerging Target

Parbo is ~8 km east of Upper Antino and hosts an expansive 1,200 m x 700 m historical auger anomaly, where samples have returned grades up to 51.42 g/t Au.

Founders plans to begin a surficial exploration program by mid-July that includes up to 1,500 m of trenching, expansion of the historical auger grid, and detailed geological mapping. Following evaluation of results from this surficial program, the Company is planning a preliminary drill program of up to 2,000 m in 2025.

Lawa

Lawa

Emerging Target

Lawa is ~ 14 km southeast of Upper Antino target represents a major structural corridor with significant discovery potential, comprising over 8,000 m of mapped shearing and extensive artisanal workings. Gold mineralization occurs within sheeted tension vein arrays, presenting as both disseminated pyrite and visible free gold in sheared quartz veins that run sub-parallel to regional structures.

Recent exploration has yielded promising results, including channel sampling at Lawa North returning 27.0 m of 1.99 g/t Au. Initial drilling at Lawa South has consistently intercepted broad intervals of gold mineralization in all holes, including visible gold.

The Company plans comprehensive follow-up work including additional surficial exploration and an expanded drilling program. This systematic approach will help define the system's full potential while identifying the most prospective areas for higher-grade mineralization.

On-Site Infrastructure

The Antino Gold Project benefits from well-established on-site infrastructure that supports efficient exploration and development. Existing facilities include an operational camp, core logging and storage facilities, and strong internal road and trail networks that enable access across key target areas. The project area is accessible by both road and air, with an airstrip located nearby to facilitate the transport of people and supplies. This strong infrastructure foundation reduces costs, accelerates timelines, and position Antino for rapid advancement.

Vancouver, British Columbia, September 17, 2026 – Founders Metals Inc. (TSX-V: FDR) (OTCQX: FDMIF) (FSE: 9DL0) (“Founders” or the “Company”) announces that it has completed the acquisition of the remaining 30% of the issued and outstanding shares of Lawa Gold N.V. (“Lawa”) from Nana Resources N.V. (“Nana”), as previously announced on August 19, 2026 (the “Transaction”). As a result of the Transaction, Founders now holds a 100%, royalty-free interest in the Antino Gold Project (“Antino” or the “Project”) in southeastern Suriname (Figure 1). Concurrently, the Company closed the C$76,958,864 strategic investment by Gold Fields Netherlands Services B.V., an affiliate of Gold Fields Limited (JSE: GFI) (NYSE: GFI) ("Gold Fields"), increasing Gold Fields' ownership to approximately 19.9% of the Company's issued and outstanding common shares (the "Gold Fields Investment").

Under the Gold Fields Investment, the Company issued 14,146,850 common shares (the "Gold Fields Shares") at a price of C$5.44 per Gold Fields Share. Immediately prior to closing, Gold Fields held 14,489,879 common shares, representing approximately 12.5% of the Company's issued and outstanding common shares. Following closing, Gold Fields holds 28,636,729 common shares, representing approximately 19.9% of the issued and outstanding common shares of Founders on a non-diluted basis.

Colin Padget, Founders’ President & CEO, commented, “With the closing of this transaction, Founders' shareholders now hold a 100%, royalty-free interest in the entire 102,360-hectare Antino district, and we have the operational control to advance it on our terms. I want to thank Nana Resources for their partnership in Suriname and their contribution to bringing the project to this point. Gold Fields' decision to increase its position to 19.9% is a strong endorsement of Antino's potential and leaves Founders well funded to advance both our known targets and greenfields exploration across the district.”

Transaction Consideration

Pursuant to the terms of the Transaction, Nana has received US$17,000,000 in cash and 13,568,944 common shares of the Company (the “Consideration Shares”). Nana is further entitled to receive up to US$21,000,000 in contingent milestone payments, payable in cash, tied to the achievement of specified mineral resource estimate, permitting, construction, and production milestones at the Project. Further details of the terms of the Transaction are set out in the Company’s news release dated August 19, 2026. No finders’ fees were paid by the Company in connection with the Transaction.

Prior to the closing of the Transaction, Nana, with its head office located at Aboenawrokostraat 71, Geyersvlijt, Paramaribo, Suriname, transferred an aggregate of 1,102,531 common shares owned by Nana to certain of its advisors in connection with advisory fees payable to such advisors in respect of the Transaction. As a result of such transfers, following closing, Nana, together with its joint actors, now holds 14,246,413 of the Company’s common shares, representing approximately 9.9% of the issued and outstanding common shares of the Company. Nana will continue to monitor its investment and, depending on various factors and subject to the terms of the Investor Rights Agreement entered into in connection with the Transaction, may from time to time in the future increase or decrease its beneficial ownership, control, direction or economic exposure over securities of the Company through market transactions, private agreements, or otherwise. This press release is being issued in part pursuant to National Instrument 62-103 - The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, which also requires an early warning report to be filed with the applicable securities regulators containing additional information with respect to the foregoing matters. Gold Fields Investment

Proceeds from the Gold Fields Investment have been used to pay the cash portion of the Transaction consideration, and the balance is expected to be used to fund regional exploration activities at the Project, working capital, and general corporate purposes.

All Gold Fields Shares and Consideration Shares are subject to a statutory hold period of four months and one day in accordance with applicable Canadian securities legislation and TSX Venture Exchange policies. No finders’ fees were paid by the Company in connection with the Gold Fields Investment.

The issuance of the Gold Fields Shares to Gold Fields under the Gold Fields Investment constitutes a “related party transaction” of the Company under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”), as Gold Fields is a “related party” of the Company by virtue of holding more than 10% of the issued and outstanding common shares of the Company. Pursuant to sections 5.5(a) and 5.7(1)(a) of MI 61-101, the Company is exempt from the requirements to obtain a formal valuation and minority shareholder approval in respect of the Gold Fields Investment, as neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the Gold Fields Investment exceeds 25% of the Company’s market capitalization, determined in accordance with MI 61-101.
